Sector knowledge

Our team has unrivalled commitment to and knowledge of the real estate sector, and a long track record of advising both ultra high net worth families and institutional investors, developing excellent connections both within the property industry and the private wealth management sphere over the years. We offer advice on all aspects of UK FSA regulation, including its impact on dealing in non-UK markets.

Debt

We have knowledge of all aspects of debt funding, including sharia funding, ranging from non-recourse senior and mezzanine facilities on particular assets, through hunting facilities to equity subscription lines. We also advise on debt purchase, including positions in syndicated and securitised financings, together with the management of defaults and enforcement through to disposal, whether to a third party or an affiliated vehicle.

Structuring

We have expertise in fund structuring and tax planning, both from corporate and personal perspectives as well as extensive experience of corporate and other joint venture and co-ownership structures, profit-share and carried interest arrangements, shareholders’ agreements, and the purchase of properties via companies, partnerships and trusts established in numerous jurisdictions.

Track Record

 

  • Acting for a joint venture between PMB Holdings and AREA Property Partners on the purchase and financing of Gartmore House London EC3 for approximately £30m, and its subsequent refinancing and refurbishment.

  • Acting for the real estate arm of a major hedge fund on a wide range of City office transactions in the range of £20 to £40m.

  • Acting for West End fund management firms on the structuring and closing of a number of funds investing in City offices and the industrial sector.

  • Sale for £77m of a commercial property held in a JPUT from a substantial corporate group to a set of family trusts. The sale was structured to achieve significant tax savings in terms of SDLT and CGT roll-over relief.

  • Acting for a family office on providing bridge and subsequently construction funding for the development of a major data centre in Docklands, including advising on a substantial pre-sale restructuring of the debt to facilitate an exit from the completed investment on its sale.

  • Acting for a major private hotels group on debt facilities for the purchase of assets in Paris and the USA with individual values in excess of $/Euro 100m.

  • Advising in relation to investment and trading limited partnerships acquiring a UK portfolio valued at approximately £70m. Investors into the partnership are both onshore and offshore. We advised on the financing, subsequent refinancing and also the retirement of a significant lender/investor to those partnerships.

  • Establishing limited partnerships for a UK investor and a property developer in relation to a series of commercial property joint ventures totalling £700m

  • Advising a Middle Eastern investment fund on its £57m borrowings from Société Générale secured on a central London office building.
